Terms and Conditions
for Dexter · As of October 2026 · In case of doubt, the German version applies.
1. Provider and scope
The provider is SCHMITZ UNIVERSE, owner Jonas Schmitz, Friedrich-Mohr-Straße 1, 56070 Koblenz, Germany (“we”). Dexter and SICA are products of the NeXsoft brand.
These terms apply to all contracts for the use of Dexter. Our offers are aimed exclusively at businesses within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law, not at consumers. Deviating terms of the customer apply only if we expressly agree to them in writing.
2. Waiting list and Early Access
Joining the waiting list is free and non-binding. It does not create any claim to a contract, a particular start date or particular terms. Early Access terms for the first 50 companies apply only where they are expressly stated in a written offer.
3. Conclusion of contract
Information on this website is not a binding offer. A contract is concluded when the customer accepts our individual offer in text form. Scope, prices, term and notice periods are set out in that offer; these terms apply in addition.
4. Service
Dexter is a software-based assistant. It sorts and prepares, drafts replies, reminds and calls. The customer makes the decisions: messages are only sent after the customer’s approval, and the assistant does not make payments or permanently delete data. The exact scope follows from the offer and the current service description. We continuously develop the product and may change features as long as the agreed core of the service is preserved.
Results are based on automated processing, including language models. They may be incomplete or incorrect. The customer checks drafts, deadlines, amounts and recipients before approving them. We do not provide legal, tax or financial advice.
5. Customer’s cooperation
The customer provides the necessary access (for example to mailbox and calendar), keeps access credentials secret and ensures that it is entitled to have the data it transmits processed. It does not use the service unlawfully and informs us without delay of errors or misuse.
6. Fees and credit
Fees consist of the components named in the offer, usually a base fee and usage credit. The credit is topped up in advance and usage is deducted from it. When the credit is used up, we may pause usage-based features until the next top-up. All prices are exclusive of statutory VAT. Invoices are due immediately without deduction unless the offer states otherwise.
7. Availability
We strive for high availability. We only owe a specific availability if it is expressly agreed in the offer. Where possible, we announce maintenance in advance. Disruptions caused by third-party services beyond our control, such as the customer’s email provider, are not our responsibility.
8. Data protection
Where we process personal data on the customer’s behalf, the parties conclude a data processing agreement under Art. 28 GDPR. Otherwise our privacy policy applies.
9. Rights of use
For the term of the contract, the customer receives a simple, non-transferable right to use the service for its own business purposes. All rights to the software, the Dexter, SICA and NeXsoft brands and our content remain with us. Data provided by the customer and results created for it belong to the customer.
10. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent of any guarantee given. In the case of slight negligence, we are only liable for breach of an essential contractual obligation whose fulfilment makes proper performance of the contract possible in the first place and on which the customer may regularly rely; liability is then limited to the foreseeable damage typical for the contract. We are not liable for damage arising from content the customer has approved, insofar as the error was recognisable on review.
11. Term and termination
Term and notice periods follow from the offer. The right to terminate for good cause remains unaffected. After the contract ends, we provide the customer with its data in a common format on request and then delete it, unless statutory retention obligations apply.
12. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Exclusive place of jurisdiction for all disputes arising from the contract is Koblenz, Germany. Should any provision be invalid, the remainder of the contract remains valid. Contact: info@heydexter.si.
